Terms and conditions
General terms and conditions of MN-F Maschinen Nord, Division LATAM of STA Technic GmbH, for business customers. Incoterms 2020, German law.
1. Scope
These terms apply to all offers, orders and deliveries of MN-F Maschinen Nord, Division LATAM of STA Technic GmbH, to business customers. They apply exclusively; conflicting purchase terms of the buyer apply only if confirmed in writing.
2. Quotations
Quotations are non-binding until confirmed by order confirmation. Each quotation states its validity period, the applicable Incoterm and the payment term.
3. Prices and Incoterms
Prices are net, in the currency stated in the quotation. Deliveries are made per Incoterms 2020 as named in the order confirmation (EXW, FOB, CIF or DAP). Import duties, taxes and clearance in the destination country are borne by the buyer unless agreed otherwise.
4. Payment
Payment terms are agreed per order confirmation. Bank transfer and letters of credit at sight are accepted. For first orders, partial or full advance payment may be required. Details are stated in the order confirmation before any commitment.
5. Delivery and passing of risk
Delivery windows are stated in the order confirmation and are met subject to supplier availability. Risk passes according to the Incoterm named in the order confirmation. Reasonable partial deliveries are permitted.
6. Retention of title
Delivered goods remain the property of STA Technic GmbH until full payment of the purchase price and all associated claims.
7. Export control
Deliveries comply with German and European export regulations. The buyer is responsible for import licences, permits and customs clearance in the destination country, and confirms that goods are not purchased for a sanctioned end use.
8. Verification
Goods are verified before dispatch under the MN-F internal verification procedure. The verification is documented in a report per order. The report documents conformity with the referenced datasheet and condition; it is not a safety inspection and does not replace manufacturer certification.
9. Warranty and notification of defects
For new goods, the manufacturer warranty applies where transferable, alongside statutory rights. Used equipment is sold in the condition documented in the verification report. As a business customer, the buyer inspects the goods without undue delay after delivery and notifies defects in writing without undue delay; late notification excludes claims for defects that a timely inspection would have revealed (sec. 377 German Commercial Code).
10. Liability
Statutory liability applies for intent and gross negligence, and for injury to life, body or health. Otherwise, liability for foreseeable damage typical to the contract is limited to the net value of the affected order. Liability for indirect loss, lost production or lost profit is excluded to the extent permitted by law.
11. Law and jurisdiction
The law of the Federal Republic of Germany applies. The clause naming the place of jurisdiction is being completed together with the registered address of STA Technic GmbH.
12. Final provisions
Amendments and side agreements require written form. Should individual provisions be invalid, the remainder stays in force.
